Bio

Andy Tucker’s broad corporate securities practice includes the representation of issuers and underwriters in capital markets transactions, venture capital/emerging company work, mergers and acquisitions and buy-out fund work. Andy has completed public offerings for clients in a wide variety of industries, including software, online retailing, professional services, biotechnology, financial services, manufacturing and REITs. Andy has represented issuers and buyers in PIPE transactions. He regularly counsels clients in their ongoing reporting requirements and on compliance with federal and state securities laws. Andy represents numerous start-up companies in structuring their business, locating capital and building a strong foundation for the growth of their business. He also represents venture capitalists and other institutional and individual investors in these companies. Andy has completed numerous public and private mergers and acquisitions representing financial and strategic buyers, sellers and controlling stockholders. He regularly represents buyers, sellers and investment banks in the review of fairness opinions and related proxy disclosures. Andy has been a panelist on numerous discussions regarding securities laws topics, such as the public offering process and compliance with the mandates of Sarbanes-Oxley.

Jonathan Aberman

Bio

Jonathan Aberman is the founder of and Managing Director of Amplifier. Amplifier is composed by Amplifier Ventures (www.amplifierventures.com), a group of early stage venture capital funds, and Amplifier Network (www.amplifiernetwork.com) an online social community that provides educational content, relevant news and business advice to a growing community of entrepreneurs and selected investors and service providers in the Mid-Atlantic market. Amplifier has been operating since late 2005. Amplifier Ventures has five current portfolio companies, BrightHub, Defywire, Hook Mobile, iBelong Networks and Zenoss, each of which are emerging technology businesses. Amplifier is currently focusing on open source, Web 2.0 and Wireless communications. Amplifier Ventures seeks to be the first institutional investor in its portfolio companies, and has led four of its five current investments. Amplifier’s investment team includes experienced serial entrepreneurs with wide ranging social and business experiences. Prior to forming Amplifier, Mr. Aberman was a venture capital attorney who, as Partner in three top-tier law firms, mentored the formation and growth of over 60 promising emerging technology companies and represented over 15 venture capital funds in transactions with an aggregate value in excess of $1 billion. Prior to his time as a venture capital lawyer, Mr. Aberman was mergers & acquisition attorney in New York and an investment banker and arbitrage trader in London, England. Mr. Aberman serves on boards and committees of the Virginia Biotechnology Association, the Governors Commission on Biotechnology for the Commonwealth of Virginia, the Northern Virginia Technology Council, the Mid-Atlantic Venture Association and George Mason Intellectual Properties. He is an advisor to the Maryland Technology Enterprise Institute (“MTECH”); the Technology Advancement Program at the University of Maryland, College Park; the Hinman CEO Entrepreneurship Program at the University of Maryland, College Park; the Mason Enterprise Center at George Mason University; and the Entrepreneurship Program at the George Washington University. He is also an Adjunct Professor at the Robert H. Smith School of Business, the University of Maryland where he teaches courses on Venture Capital and other topics. He is a frequent writer on venture capital topics for regional and national publications. Mr. Aberman was a Phi Beta Kappa graduate of The George Washington University. He holds a Masters in International Economics with Distinction from The London School of Economics. Mr. Aberman is the recipient of Bachelors and Masters of Law degrees from both Cambridge University and New York University School of Law.

Alan D. Bickerstaff

Bio

Alan is a corporate and securities partner in the Austin office. He represents venture capital firms, investment banks, and public and private technology and emerging growth companies on general corporate and transactional matters, including securities law reporting and compliance, formation and corporate governance issues, private equity and venture capital transactions, public offerings, and mergers and acquisitions. Alan has represented companies and investors in more than 75 venture capital transactions. He has advised clients in raising more than $400 million in venture capital, helped execute more than $2.4 billion worth of public offerings and Rule 144A transactions, and represented clients in mergers and acquisitions totaling more than $2.6 billion in value.
